1. Scope of Services

We specialize in delivering high-level technical solutions, including but not limited to:

  • Architecture design, including HPOS compatibility and ACF-driven data models.
  • Third-party REST API integrations and custom automation tools.
  • Technical consulting and system performance optimization.

Specific project deliverables, timelines, and technical requirements will be outlined in a separate Statement of Work (SOW) or formal project agreement tailored to your individual requirements.

2. Client Responsibilities

To ensure the successful execution of technical projects, clients are required to:

  • Provide timely access to necessary server environments, deployment pipelines, APIs, and heshamsaadistrative credentials.
  • Deliver required assets (content, brand guidelines, functional specifications) according to agreed project schedules.
  • Review and approve architectural blueprints, code deployments, or project milestones in a timely manner.

Delays in client feedback or asset delivery may result in corresponding adjustments to the project timeline.

3. Intellectual Property Rights

  • Custom Code and Deliverables: Upon full payment of all associated invoices, the client assumes ownership of the custom frontend and backend code, specific configuration files, and custom themes developed exclusively for their project.
  • Pre-existing Material and Frameworks: We retain all intellectual property rights to pre-existing code libraries, base frameworks, proprietary architectural patterns, and reusable modular components utilized during development. Clients are granted a non-exclusive, non-transferable license to use these components solely within the context of the delivered project.
  • Third-Party Assets: Any third-party software, libraries, or APIs integrated into the project remain the property of their respective owners and are subject to their specific licensing agreements.

4. Payment and Billing

  • Consulting and Development Fees: Project costs, hourly consulting rates, and retainer structures will be detailed in the project proposal.
  • Invoicing: Invoices must be paid within the timeframe specified on the document. We reserve the right to suspend development environments, halt repository deployments, or pause consulting services if payment is not received by the due date.
  • Scope Creep: Any requests that deviate from the approved SOW or require additional programmatic solutions will be assessed as a change request and billed accordingly.

5. Warranties and Limitation of Liability

  • Service Provision: Code and technical architecture are delivered to high industry standards, focusing on clean architecture, performance, and scalability. However, services are provided on an “as is” and “as available” basis.
  • Third-Party Dependencies: We are not liable for system failures, performance degradation, or security breaches resulting from third-party hosting providers, external APIs, core WordPress updates, or third-party plugin deprecations.
  • Liability Cap: To the maximum extent permitted by applicable law, Hesham Saad for information technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business continuity, arising from your use of our services or website.

6. Termination of Services

Either party may terminate a project agreement or consulting retainer with written notice, subject to the terms of the specific project contract. Upon termination, the client is responsible for payment for all technical labor, development cycles, and consulting hours completed up to the date of termination.

7. Governing Law and Dispute Resolution

These Terms and Conditions, and any disputes arising directly or indirectly from your engagement with our services, shall be governed by and construed in accordance with the laws of Egypt. Any legal proceedings or dispute resolution shall be subject to the exclusive jurisdiction of the courts located in Alexandria, Egypt.

8. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time to reflect changes in technical standards, operational practices, or legal requirements. Material changes will be communicated via the website or direct email. Continued engagement with our services following such modifications constitutes acceptance of the revised Terms.
